Terms and conditions for using Blackwell AI's automation systems and services.

Acceptance of Terms
By accessing and using Blackwell AI's services, including our Content + AI automation systems, you accept and agree to be bound by the terms and provision of this agreement.
These terms apply to all users of our services, including founders, startups, and businesses seeking AI automation solutions for growth systems, content distribution, and client experience optimization.
Description of Services
Blackwell AI provides Content + AI automation systems for founders and startups, including:
- Growth Systems: Lead generation, email automation, booking funnels, and nurture sequences
- Content & Distribution Systems: Blog automation, newsletter creation, social media content, and AI-powered content engines
- Client Experience Systems: Onboarding flows, intake systems, fulfillment workflows, and hiring management
- AI Service Fulfillment: Automated processes to reduce manual work and increase efficiency
- CRM Buildouts: Sales systems and tracking implementations
- SOPs & Consultation: Strategic guidance and standard operating procedures
Service Terms and Delivery
Onboarding: Our onboarding process takes 30 minutes and is the only mandatory call in our service. We can schedule this as soon as tomorrow after your booking.
Project Management: We use a simple, self-directed ClickUp board to manage work. You can add projects, leave comments, view progress, or let us add tasks for you.
Weekly Consultations: We provide optional weekly 45-minute consultations for brainstorming and strategic discussion, as operations is an ongoing process.
Delivery Commitment: We deliver. Period. No ghosting, no half-finished work, no vague results. Just polished deliverables, sent on time, that perform.
User Responsibilities
As a client, you agree to:
- Provide accurate and complete information during onboarding
- Grant necessary access to systems, platforms, and data required for service delivery
- Respond to requests for clarification or approval in a timely manner
- Use our automation systems in compliance with applicable laws and platform terms
- Attend the mandatory 30-minute onboarding call
- Communicate project requirements clearly through our ClickUp management system
Payment Terms
Standard Plans: Monthly recurring billing for ongoing automation services. Payment is due at the beginning of each billing cycle.
Quarterly Plans: Discounted quarterly billing with payment due in advance for the full quarterly period.
Ad-hoc Services: Custom pricing for one-off projects with payment terms specified in individual project agreements.
Late Payments: Services may be suspended for accounts with overdue payments. A reinstatement fee may apply for reactivation of suspended services.
Intellectual Property
Client Ownership: You retain ownership of your business data, content ideas, and proprietary information shared with us.
Deliverable Ownership: Upon full payment, you own the automation systems, content, and workflows we create specifically for your business.
Blackwell AI Ownership: We retain ownership of our methodologies, templates, processes, and any general knowledge or techniques developed.
Usage Rights: We may use anonymized case studies and results for marketing purposes, without revealing client-specific information.
Data and Confidentiality
We implement enterprise-grade security measures to protect your data and maintain strict confidentiality of your business information, strategies, and proprietary processes.
Data Usage: We only use your data to deliver the agreed-upon services. We do not sell, share, or use your data for purposes outside of our service delivery.
Data Retention: Client data is retained for the duration of our service relationship plus a reasonable period for backup and legal compliance purposes.
Limitation of Liability
While we strive for exceptional results and have a track record of success (including helping startups achieve 0 to 1,700+ leads in 3 weeks, 300% newsletter click improvements, and significant time savings), business results can vary based on market conditions, implementation, and other factors beyond our control.
Service Limitation: Our liability is limited to the amount paid for services in the preceding 12 months. We are not liable for indirect, consequential, or punitive damages.
Performance Disclaimer: While we deliver polished work on time, we cannot guarantee specific business outcomes, conversion rates, or revenue results.
Termination
Client Termination: You may terminate services with 30 days written notice. Quarterly plans require completion of the current quarter unless terminated for cause.
Our Termination Rights: We reserve the right to terminate services for non-payment, violation of terms, or if the working relationship becomes unproductive.
Post-Termination: Upon termination, you retain ownership of completed deliverables, and we will provide reasonable transition assistance.
Changes to Terms
We may update these Terms of Service from time to time. We will notify existing clients of any material changes with at least 30 days notice. Continued use of our services after changes constitutes acceptance of the updated terms.
Governing Law and Dispute Resolution
These terms are governed by applicable laws. Any disputes will be resolved through good faith negotiation first, followed by binding arbitration if necessary.
We believe in maintaining positive working relationships with our clients and will work to resolve any issues collaboratively and professionally.
